CLIENT TERMS & CONDITIONS

Last updated: September 2026

These Client Terms & Conditions (“Terms”) apply to services provided by Tibballs & Co Pty Ltd trading as Online Lifestyle Co (“OLC”, “we”, “us” or “our”) to the client identified in the applicable quote, proposal, service agreement or invoice (“Client”, “you” or “your”).

By accepting a quote, engaging OLC to commence work, paying a deposit or invoice, or otherwise confirming acceptance of our services, you agree to these Terms.

Where a quote or written service agreement contains terms that differ from these Terms, the terms specifically stated in the quote or agreement will apply to the extent of that inconsistency.

● Social media management
● Social media content creation

The specific services being provided to a Client will be detailed in the applicable quote, service agreement, scope of work or other written agreement.

2. QUOTES AND SCOPE OF WORK

Our quote or scope of work will outline the services, deliverables, pricing and any specific inclusions or exclusions applicable to the engagement.

Unless otherwise stated, work outside the agreed scope is not included.

Additional requests, revisions, services or work outside the agreed scope may be quoted separately or charged at OLC’s applicable hourly or project rate.

We will endeavour to advise the Client where a request is likely to fall outside the agreed scope before undertaking significant additional work.

Quotes are valid for the period specified on the quote.

3. ONGOING SERVICE AGREEMENTS

Unless otherwise specified in writing, OLC’s ongoing marketing and management services are subject to a minimum six (6) month initial commitment.

The initial commitment commences on the service commencement date specified by OLC.

Following completion of the minimum commitment period, services continue until cancelled in accordance with these Terms.

After the minimum commitment has been completed, either party may terminate the ongoing service by providing at least 30 days’ written notice.

Different minimum terms may apply where specifically stated in a Client’s quote or service agreement.

4. EARLY TERMINATION

Where a Client wishes to terminate an ongoing service before completing an agreed minimum commitment period, an early termination fee may apply.

Any early termination fee will be calculated having regard to OLC’s reasonable costs and losses arising from the early termination, including committed staff capacity, work already performed,
non-refundable third-party commitments and reasonable administrative or transition costs.

Where practicable, OLC will advise the Client of the applicable early termination amount before finalising the termination.

Nothing in this section is intended to impose a penalty or exclude any right that cannot lawfully be excluded.

5. FEES AND PAYMENT

Unless otherwise stated in writing:

● OLC invoices are payable within 7 days of the invoice date.
● Payments may be made by bank transfer or approved direct debit.
● Recurring services may be invoiced automatically in accordance with the agreed billing schedule.
● The Client must ensure sufficient funds are available for an authorised direct debit.
● Any legitimate third-party dishonour or failed-payment fees incurred by OLC may be passed on to the Client where permitted by law.
All prices are exclusive of GST unless expressly stated otherwise.
GST will be added where applicable.

6. OVERDUE ACCOUNTS AND SUSPENSION

If an invoice remains unpaid for 21 days after its due date, OLC may suspend some or all services until the outstanding account has been brought up to date.

Where reasonably practicable, OLC will provide notice before suspending services.

Suspension may include pausing:

● Social media activity
● Advertising management
● Website management
● Website support
● SEO services
● Hosting-related support
● Content production
● Campaign management
● Other ongoing work.

Where services are suspended because of the Client’s failure to pay an amount properly due, contractual fees may continue during the suspension where OLC continues to reserve resources or incur costs associated with the Client’s engagement.

OLC is not responsible for delays, missed campaigns, reduced performance or other consequences reasonably resulting from a service suspension caused by non-payment.

Nothing in this section limits rights available to either party under applicable law.

7. PROJECT DEPOSITS

Project-based work, including website development, strategy projects, photography, videography and other significant one-off projects, may require a deposit before work commences.

Unless otherwise specified, the minimum project deposit is 25% of the agreed project price.

The remaining balance may be invoiced through progress payments, project milestones or upon completion, as specified in the applicable quote.

OLC is not required to commence work until the required deposit has been received.

Deposits may be applied toward work performed, resources reserved and reasonable costs incurred in connection with the project.

Any refund entitlement will be determined in accordance with these Terms and applicable Australian law.

8. CLIENT RESPONSIBILITIES

Successful marketing relies on cooperation between OLC and the Client.

The Client agrees to:

● Provide accurate and complete information.
● Provide required account access and login credentials.
● Supply requested photographs, logos, brand assets, product information and other materials.
● Respond to reasonable requests for information.
● Review and approve content within requested timeframes.
● Ensure claims about its business, products and services are accurate and lawful.
● Advise OLC promptly of material changes affecting campaigns or marketing.
● Maintain appropriate licences, registrations and approvals required to operate its business.
● Ensure Client-supplied materials do not infringe another person’s intellectual property rights.

OLC is not responsible for delays caused by the Client failing to provide information, approvals, access or materials reasonably required to complete the work.

Project timelines may be adjusted accordingly.

9. CLIENT APPROVALS

Where OLC submits content, designs, websites, campaigns or other materials for Client approval, the Client is responsible for reviewing the material carefully.

Approval confirms that the Client is satisfied with the material and, to the best of the Client’s
knowledge, information including names, pricing, offers, dates, claims, contact information and other business details is correct.

Where a Client requests changes after previously approving work, additional charges may apply if those changes fall outside the agreed scope.

10. SOCIAL MEDIA MANAGEMENT

Social media services may include content planning, copywriting, design, scheduling, publishing, reporting, community management and other services specified in the applicable quote.

The Client acknowledges that OLC does not control third-party platforms including Facebook, Instagram, LinkedIn, TikTok, Google or other social networks.

Platforms may alter algorithms, features, policies, advertising requirements, functionality or account access without notice.

OLC does not guarantee:

● Follower growth
● Reach
● Engagement
● Leads
● Enquiries
● Sales
● Revenue
● Viral content
● Any particular social media performance.

OLC will provide the agreed services with appropriate professional care and skill but marketing outcomes are influenced by factors outside OLC’s reasonable control.

11. PAID ADVERTISING

Where OLC manages advertising through Meta, Google or another advertising platform, management fees are separate from advertising spend unless specifically stated otherwise.

The Client is responsible for the agreed advertising budget and third-party platform charges.

OLC does not guarantee:

● Advertisement approval
● Cost per click
● Cost per lead
● Number of leads
● Lead quality
● Conversion rates
● Sales
● Revenue
● Return on advertising spend (ROAS)
● Return on investment
● Continued access to an advertising account.

Advertising results are affected by factors including competition, market conditions, budget, targeting, offer quality, pricing, website performance, Client sales processes and platform algorithms.

OLC is not responsible for advertising account restrictions, suspensions or platform decisions outside OLC’s reasonable control.

12. SEARCH ENGINE OPTIMISATION

SEO is an ongoing process and search engines determine rankings independently.

OLC cannot guarantee:

● A particular Google ranking
● First-page rankings
● Position #1 rankings
● Ranking within a particular timeframe
● A specific increase in traffic
● A specific number of enquiries
● Revenue or sales resulting from SEO.

Search engine algorithms, competitor activity and other factors outside OLC’s control may affect rankings.

Where SEO services are included, OLC will undertake the agreed optimisation activities using professional practices considered appropriate at the time.

13. WEBSITE DEVELOPMENT

Website projects are based on the agreed scope.

Unless specifically included, additional pages, functionality, integrations, copywriting, photography, complex development or other additions may incur additional fees.

The Client is responsible for supplying requested content and approvals within reasonable timeframes.

Significant Client delays may result in project timelines being revised.

OLC may invoice completed stages of work where a project is substantially delayed because required Client materials, access or approvals have not been provided.

14. WEBSITE OWNERSHIP AND INTELLECTUAL
PROPERTY

Subject to full payment of all amounts relating to a website project, the Client will own the final website and original final deliverables created specifically for that Client, except for materials subject to
existing OLC or third-party intellectual property rights.

Ownership does not automatically include:

● OLC methodologies
● Internal processes
● Pre-existing OLC templates
● Licensed themes
● Plugins
● Software
● Stock photography
● Stock video
● Licensed fonts
● Third-party code
● Third-party templates
● Software subscriptions
● Internal working files or production resources.

Those materials remain subject to their existing ownership and licence arrangements.

Unless otherwise agreed, OLC may display completed work in its portfolio, website, social media channels and promotional material.

15. CLIENT-SUPPLIED MATERIAL

The Client retains ownership of materials supplied to OLC.
The Client grants OLC permission to use those materials as reasonably necessary to provide the agreed services.

The Client warrants that it owns, has permission to use, or otherwise has the necessary rights to supply those materials to OLC.

16. WEBSITE HOSTING, DOMAINS AND EMAIL

Where OLC provides or manages website hosting, domains or email-related services, those services may rely on third-party infrastructure and providers.

The Client acknowledges that no internet-based hosting service can guarantee uninterrupted availability.

OLC will take reasonable steps within the scope of the agreed service to manage hosting services professionally but does not guarantee 100% uptime.

Temporary interruptions may occur because of:

● Server maintenance
● Provider outages
● Internet failures
● Software failures
● Cybersecurity incidents
● Domain or DNS issues
● Third-party service outages
● Circumstances outside OLC’s reasonable control.

Where practical, domain names should be registered in the Client’s name or with the Client recorded as the registrant.

OLC may administer domains on the Client’s behalf.
The Client is responsible for paying applicable hosting, domain and email renewal fees by their due dates.

Failure to pay applicable fees may result in suspension or expiry of the relevant service.

17. WEBSITE SECURITY AND BACKUPS

OLC may provide security monitoring, backups, plugin management and maintenance where included within the Client’s selected service.

No website or online system can be guaranteed to be completely secure.

OLC does not guarantee that a website will never experience hacking, malware, data loss, software vulnerabilities or other security incidents.

Where an incident occurs, additional recovery or remediation work outside the Client’s existing service scope may be chargeable.

18. THIRD-PARTY SERVICES

OLC’s services may rely on third-party platforms and providers including, where applicable:

● Google
● Meta
● LinkedIn
● WordPress
● Wix
● Canva
● HighLevel
● Mailchimp
● MailerLite
● Xero
● GoCardless
● Hosting providers
● Domain registrars
● Analytics platforms
● Advertising platforms
● Artificial intelligence platforms
● Other software and technology providers.

OLC is not responsible for outages, policy changes, pricing changes, account restrictions, discontinued services or other actions of third-party providers outside OLC’s reasonable control.

Third-party fees are the Client’s responsibility unless expressly included in OLC’s quote.

19. ARTIFICIAL INTELLIGENCE AND AUTOMATION

OLC may use artificial intelligence and automation tools to assist with service delivery.

This may include assistance with:

● Research
● Strategy development
● Ideation
● Drafting
● Copywriting
● Content development
● Image creation
● Data analysis
● Reporting
● Workflow automation
● Internal administration.

These tools assist OLC’s team and do not replace OLC’s professional responsibility for providing the agreed services.

OLC will take reasonable care when using Client information with third-party AI and automation services and will consider confidentiality and privacy obligations applicable to the engagement.

20. CONFIDENTIALITY

Each party agrees to keep confidential information received from the other party confidential and not
disclose it except:

● Where necessary to provide the agreed services
● To employees, contractors or service providers who reasonably require access
● With the other party’s consent
● Where required by law.

This obligation does not apply to information already publicly available other than because of a breach of confidentiality.

21. MARKETING RESULTS

Marketing involves variables outside OLC’s control.

While OLC aims to improve its Clients’ marketing performance, OLC does not guarantee any particular commercial result.

Past results, forecasts, strategies, recommendations, projections or case studies should not be interpreted as guarantees of future performance.

The Client remains responsible for its business decisions, pricing, customer service, sales processes, products and services.

22. DIGITAL PRODUCTS, TEMPLATES AND COURSES

Digital products supplied by OLC may include:

● Templates
● Guides
● Workbooks
● Downloads
● Training material
● Online courses
● Marketing resources.

Once access to a digital product has been supplied, OLC does not generally provide refunds for change of mind.

This does not affect any rights or remedies available under the Australian Consumer Law that cannot lawfully be excluded.

Unless expressly stated otherwise, purchasing a digital product provides the purchaser with a non-exclusive, non-transferable, ongoing licence to use that product for their own personal or business purposes.

Purchasing a digital product does not transfer ownership of OLC’s underlying intellectual property.

Digital products must not be copied, redistributed, resold, sublicensed or commercially reproduced without OLC’s written permission.

23. CANCELLATION OF PROJECT WORK

If a Client cancels a project after work has commenced, OLC may invoice for work completed and reasonable costs or commitments incurred up to the cancellation date.

Where a deposit has been paid, the deposit may be applied against those amounts.

Any remaining balance or refund will be calculated having regard to work performed, reasonable costs incurred and applicable Australian law.

24. LIMITATION OF LIABILITY

To the maximum extent permitted by law, OLC’s liability arising from the provision of services will be limited as permitted under applicable Australian law.

OLC is not liable for indirect or consequential loss to the extent such liability may lawfully be excluded.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other right that cannot lawfully be excluded.

25. EVENTS OUTSIDE OUR CONTROL

Neither party will be responsible for delay or failure to perform an obligation where that delay or failure results from circumstances beyond its reasonable control.

This may include natural disasters, telecommunications failures, major technology outages, government action, serious cybersecurity incidents, industrial disruption or widespread third-party platform failures.

The affected party must take reasonable steps to minimise the effect of the disruption.

26. TERMINATION BY OLC

OLC may terminate or suspend an engagement where there is a material breach of these Terms and, where the breach can reasonably be remedied, the Client has failed to remedy it after being given reasonable notice.

OLC may also terminate where continued engagement would reasonably expose OLC or its staff to unlawful conduct, serious reputational harm, abusive behaviour or unacceptable safety risks.

Any outstanding amounts properly payable for services already provided or costs reasonably incurred remain payable following termination.

27. TRANSITION FOLLOWING TERMINATION

Following termination and payment of outstanding amounts, OLC will reasonably cooperate in transferring Client-owned digital assets, accounts, domains or website access under OLC’s control.

Additional work required for migration, handover, data preparation or technical assistance may be charged at OLC’s applicable rate where it falls outside the contracted service.

Third-party licence or subscription arrangements may not be transferable.

28. CHANGES TO SERVICES OR TERMS

OLC may update these Terms from time to time.

For existing fixed-term engagements, material changes affecting the Client’s existing contractual rights or obligations will not automatically replace specifically agreed contractual terms unless agreed or otherwise permitted by law.

Updated Terms may apply to new engagements, renewals or future services.

29. DISPUTE RESOLUTION

If a dispute arises, both parties agree to first attempt to resolve the matter in good faith through direct discussion.

The parties should provide each other with reasonable information relevant to the dispute and attempt to reach a commercially reasonable resolution before commencing formal proceedings, except where urgent legal relief is required.

30. AUSTRALIAN CONSUMER LAW

Nothing in these Terms is intended to exclude or restrict rights that cannot lawfully be excluded.

Where the Australian Consumer Law applies, the Client retains all applicable consumer guarantees and statutory rights.

31. GOVERNING LAW

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts and tribunals of Victoria and applicable Commonwealth courts.
